我的 non-compete 协议中，有这么一条：就是要在当地进行仲裁，就是说不上法院
当地律师的建议，就是我接受新的ｏｆｆｅｒ 有风险，原公司可能会告我，通过
arbitration 解决，而不是通过ｃｏｕｒｔ。
加州律师，觉得问题不大，感觉协议上面没有说的很清楚。
着急死了，口头答应了ｏｆｆｅｒ 但是一直没有签字，对方公司一直在催。
如果我去加州公司，对方通过仲裁，我败诉了， 这家新的加州公司会不会帮我出 ｌ
ｅｇａｌ ｆｅｅ？

能帮忙解答一下：
朋友刚刚从一家生物公司跳槽，现在想和几个人回国搞一个类似的生物公司在中国市场
做同样的产品。但是她担心跳槽前（或是受雇时）同公司签的合同中的anti-compete
clause，她的前公司是否会以此将她告上法庭呢？
我google了一下，似乎加州是唯一不enforce anti-compete clause的州，除非一些例
外情况，例如保护商业机密。不知道这家生物公司的技术（blood screening）能否算
做商业机密？那家公司能否以泄漏商业机密罪起诉她？

最近收到了一个外资对冲基金的offer,美国小基金，也就十亿美元规模吧，这个组做高
频自营的，多少钱不清楚。
让我去做研究员，实不相瞒，也就给了差不多4万美元一年。当然比内资机构还是高一
点的。
但是offer里有个一年的Non-competent,不能为竞争对手工作，然后他妈每个月只给
1000块在竞业协议期间。
内资除了高科技行当，金融业很少有这么长的竞业协议。
外资基金在中国的机会太难得，但是这个Non-competent实在让人蛋疼。
各位说说合理不？我是小菜鸟，也没有啥议价能力
这公司之前做过国内市场，现在不做了，我去老板说主要做亚太市场。

末申了其中好几个。结果今天老板过来说我们申了好多一样的学校。还暗示我让我
focus在second-tier的学校。但是最后又说我还是应当都申请。美国人看起来心里想的
和嘴上说的不一样。

你没有独立拿到grant的能力。
最好能说服你老板在推荐信上写明you can take all the programs you initiated in
his lab and the boss will not compete with you(我前老板就是明确这样写的，对
其它博后也一样），否则，如上面某位所说，你最好说 I will continue to study
this broad question, but will incorporate new direction/discpline into my

本人国内工作，刚拿到湾区的一个互联网码农offer，具体数字还没下来，只是
recruiter问了在国内挣的数目。
但是如果只是拿国内的数作参考的话，肯定没法得到一个能在加州活下去的数目吧...

应该是l5。但是整个package才244k(160k base+15% bonus+450 GSU)外加15ksign on。
这个比板上说的l5 250k-300k的下限还低啊，可以说是板上l5的最low ball了吧？没有
compete offer的话是不是就没法再多要了啊？知道他家base和bonus难讲价，有什么方
法能在多要点GSU么？
补充一下背景: CS PHD+8年，目前的base+bonus甚至比这个offer还高一点，当然由于
没有股票，整体package差不少。面试答题很一般，估计也是low ball的重要原因之一
