for bankruptcy.
State-appointed emergency manager Kevyn Orr on Thursday asked a federal
judge permission to place the city into Chapter 9 bankruptcy protection.

For the lender, it can claim a bad debt no matter the borrower has the
ability to repay or not.
For the borrower, if the borrower can't pay,i.e bankruptcy, or insolvent,
then the bad debt doesn't create income for the borrower. |

对方说碰到了现金流问题，希望能缓一缓，并说朋友公司是他们优先还款的公司。今年
4月1号对方说他们公司在2月被国内一家公司C收购了，a sale of assets rather than
a purchase of stock，所以债务还在原先公司B，并不由新公司C负责。原先公司B现
在进入清偿。“At the time of the sale transaction, XX was insolvent and
proceeds of the transaction were significantly below the sum of XX’s total
outstanding obligations.”我朋友公司作为unsecured creditor，排在清偿顺序的末
尾，只能收到原来账款的25%。
据我查收购他们的中国公司C的年报，只收购了B一部分资产和业务（也就是我朋友公司
交易的部分），B公司现在的网站上保留了原名，说是C公司的子公司。
