准备买房,公婆在国内给了12w刀付首付,LD说银行见这是大笔存进(说大笔是相对于
LD的收入水平而
言),要求我们签个promissory note.他到网上找了个template,打印好让我签字。可
是我看上面
并没有写清楚还款日期,只写了还款是on demand,而且没有写清楚我们两人对这笔12w
的债务各自承
担多少,然后利息是4%,LD说这是默认的最低利息。
我觉得关于还款日期和每个人的liability没有写清楚,想让LD加上去,但是他说太麻
烦了。我还是觉
得很迷惑,想请教各位几个问题:
1。 这个promissory note到底是做什么用的?LD说签了这个这笔钱可以不用交税,是
这样吗?
2。是不是应该加上我说的那两点?due date和每个人承担的债务是多少。另外还需要
加上什么条款
吗?我第一次接触这些东西,真的很多都不清楚。
3。请问能不能说说哪里能找到条款比较详细,清楚的promissory note的样板?

最近收到Title Company送来的Commitment for Title Insurance, 发现Schedule C中
的Exceptions包括了卖家的一个Vendor's Lien retained in Deed 和两个 Deed of
Trust。我的理解是我的Title Insurance Policy将不Cover 这些 Deeds。如果将来万
一这些Deeds出问题,有可能影响我的房屋所有权吗?如何才能将这些条款去掉?是找
我的realtor, Loan officer还是律师帮忙?Item#6中的日期(dated December 30,
1899)是什么意思,是typo error吗?

If on the offer letter there is "at-will employment", then there is not much
you can do to enforce the contract. However, always remember the law is
trying to establish fairness and justice. You can still sue to recover some
damages based on promissory estoppel doctrine, even though you are probably
not in the mood to do that.
So the critical issue is that is there "at-will employment" or similar
phrases in your offer letter?

看到有人说一定要签字才会有binding的合同,这绝对是个错误。当你说“I DO want
to accept the offer now”,你就已经接受了这个offer,就是说你已经和这个公司签
了一个binding的合同。如果你现在不去,那么就是违约,需要赔偿对方损失。
当然了,你在接受offer的同时也qualify了一下 -“but XXX”,对方公司这时应该谨
慎处理你的接受;但是,很明显你在接受这个offer之后还给了对方你的documents,而
且对方已经开始给你办H1b,你给对方传达的信息就是你会去这个公司。如果你现在不
去,那么就是违约。
就算不违约,法院至少会根据promissory estoppel判你赔偿对方因为你不去而造成的
损失。
所以,你真的是理亏,最好能好好和此公司协商一下,看对方能不能放你一马。

如果第一个lender forecloses, foreclosure会抹掉junior mortgage(第2,3…个
mortgage).但是一般买房的时候都会签两个文件一个是mortgage(抵押证明),一个是
promissory note(相当于借据)。Foreclosure只会抹掉mortgage(抵押证明),note还仍
然存在,第二个lender还是可以向owner根据note追回贷款。一般大家说foreclosure了
第二个loan的holder 一分钱也拿不到,是因为对于借房贷的,房子一般是他最有价值
的财产,如果还不起房贷了,可能也没什麽其他值钱的财产了,所以第二个lender就算还有
note可能还是追不回什末钱(因为note是没有抵押的);另外foreclosure的房子卖出
的价格,一般也就是第一个mortgage的balance,或者低于第一个mortgage的balance,
这样的情况当然第二个lender从foreclosure里拿不到任何钱。如果foreclosure的房子

可是LD说那样要交税的,因为每个人annual tax exclusion for gifts是$13,000,但是
公婆给的钱超过了这个数。

钱了,借钱的话等于liability又增加了,银行还能批贷款给你们么?
用gift letter吧,买自住房,用多少gift都可以。收礼不上税,送礼的人上税。不过
,gift理论上是不需要还的。。。

自己父母,不用房屋抵押贷款证明那么复杂吧,除非父母怕你不还钱,那自己写个
promissory note 好了。
Form 1040 schedule A 就有一项, 如果跟个人贷款,要提供债权人的social
security number. 自己deduct interest, 债权人报利息收入就是了。
楼主查一下tax code 吧,要不就问会计师。

Treas. Reg. § 1.163-10T(o)(1): Secured debt is
(1) Debt specifically secured by the debtor’s interest in the qualified
residence,
(2) Which, if defaulted, would be subject to satisfaction, and
(3) Is recorded or otherwise perfected under state law.

没看明白。对方没有一点浪费,所有花费都不是卖家出的,卖家住在里面,现在他不卖
,是因为他没有看到合适的房子可以买。他到底有啥损失?而且卖家耽误了appraisal

我们律师已经警告卖家律师了,我们律师也没觉得我们会输。
我们中介说自己从事这个行业二十多年,没有遇到过这种事情。律师的事务所也挺大的
,他说这是他毕生第二次遇到。他们说现在谁能30天拿到贷款?几乎所有人都在延期,
至少我们那里如此。
怎么让大家说起来卖家不同意很正常呢?Anyway, 中介和律师都支持我们,都觉得这是
不可理喻的事情。我们的律师也向卖家律师写信了。
有个术语叫做promissory estoppel。美国是common law吧。如果买家不想要房子,故
意在
最后一个月欠债不还,导致信用分降低100分,最后贷款贷不到,loan contingency,那
也算是legal?

facts:根据你说的,这是一个tenancy for years,ie.有租住期限的,而不是tenancy
at will, ie.双方可以任意时间,随意解除landlord tenancy关系。
如果你要解决的是“气不过”:找个collection agency,哪怕out of pocket自己花点
钱雇他们都可以,弄个讨债,把对方SSN报上去,然后对方信用记录上加一笔,这样的
影响深远。如果对方海外学成归国,那你这样做效果有限。
如果你要解决的是“损失弥补”:只能告他们。理由是:也许,是说也许,你的租约是
违反规定的,也就是说不合法出租,但是除非那个规定“出租许可”的法律明确说:如
果你没许可就出租,那么你在法律上就没有任何recourse,除非那个法律specifically
这么说。你至少可以:
1) 承认合同无效,但可以claim unjustified enrichment.就是说对方由于在你这里住
,得到了好处,那么这个好处要吐出来,注意:这个只是对方得到的好处,而不是你损
失的。在你这个案子里,恐怕很少,基本上是打扫房间的费用,因为对方以前的租金都

对于binding agreement,我读了几遍还是不太明白,这个是我们签的initial
contract,还是指最终达成协议之后的agreement?如果是initial contract的话,那
么中介redeem check就是没问题的,如果是final contract的话,那么他们不应该去
redeem这个钱
另外我的理解是钱一直在中介这里,应该不会是到seller那里了吧?

少就是多少,你应算是你先生的dependent/expense。房子是两个人买,所以银行会让

from other school. That was a detrimental change of position by LZ. And
this detrimental change was definitely a foreseeable event by the school. As

一、序言
除创造外,预言是另一项显出神人的本能实有天地之别。达赖斯神学院创办人L. S. Ch
afer谓神甚喜悦以其预言使人对他的存在产生醒觉〔注1〕,而预言的宣告便是神行动的
一种约束;另一项约束神行动的宣告乃是圣经中的圣约,神借着圣约向人宣告他管理世
界的妙计。
圣约研究是旧约神学一门繁博的学科,不少旧约神学家试图在旧约内寻找一个贯串整本

Debt issued at dicsount,
说明effective rate低于coupon rate。
你现在知道coupon rate是6%。
effective rate可以通过par,proceeds from debt issuance 和 coupon rate
推算出来。effective rate和市场利率有关系,但是也会融合其他因素,
比如借方的信用评级什么的。
另外,你看的这个debt有conversion feature,
所以借方应该可以得到稍微优惠的effective rate。
你要想知道当年discount到底是多少,
那你要去查debt agreement/promissory notes,
或是当年收款的证明,比如wire transfer什么的。
公司发债当年的10-K应该也有披露。
另外,你要搞清楚现在的unamortized discount
里面是不是含有capitalized debt issuance cost。
如果不含的话你可能可以由现在的debt carrying value和remaining term
算出effective
