不同的邮件更是彰显此刻比尔内心的挣扎。
其次，Bill Ackman对该公司的商业模式过分自信，根据其在sohn conference上的
presentation 来看，他当时给出了16*16=256（有一个16是预估的CASH EPS）的估值，
相比现在70+，的确让人大跌眼镜。
Bill Ackman在PPT中的对比，主要是列数了平台型的Valeant 和传统药企的区别，认为
Valeant的属性更像是一个hedge fund, portfolio较为多样化，因此能分散风险，同时
，由于可以直接收购Phase III阶段的药企，这样实际上FDA审查的阻力会小很多。另外
自己几乎等于砍掉了R&D方面的支出，省了一笔钱，在收购完之后也能砍掉原公司大部
分的研发部门方面的支出，岂不爽快？

开车多年，驾驶技术依然手潮，但因为胆小所以也没有吃过几次罚单。再加上向来懒惰
怕事，偶尔的罚单就认罚交钱了事了。
前些日子一次晚上有点事，又急着赶回家吃饭，好像开的是高了那么一点，不幸正好有
警车在高速上巡逻，被一亚洲帅哥交警拦住。先发现我的车今年还没登记，这个我早有
准备，赶紧灿烂微笑，解释说开始不知道今年要验排气，因为排气检验没过，所以正在
维修中，修好了马上就登记云云。帅哥还是满好人的说这个就算警告，不写到罚单上了
。至于超速也没什么可说的，就领了罚单回家再做计较。到家一看，妈妈呀，$190大元
，就这么交了实在有点心疼，年初刚被罚一次，我能接受的频率是一年一次，加上这个

comply，因为lawyers are officers of the court
还要注意，是否对方有意把你列为defendant，这样你需要找一位律师代表你。
ps.在某些state，自愿作证（非subpoena强迫作证）的证人，可以得到allowance以及
travel expenses，每一个state都不同，你需要问一问给你写信的律师是不是这样的。 |

如果证人处于法庭的subpoena power之内，被法庭subpoena而不作证可以导致被判藐视
