我是EB2 PD 08/2014
我正在準備FILE I140 不幸的是我公司的2014 TAX RETURN秀出來不夠付PW 無法滿足 "
ability of pay" 因為我們公司去年買另一個分店 加上 tax turn 上 salary expense
and officer
compensation 增加了巨多! (Salary increased 4 times and officer compensation
increased 108%, from 2013 to 2014) 導致NET LOSS 大概 19000, net curret asset
也不夠.... 嗚嗚嗚.
我自己做了非常多功課研究 (我的律師沒有處理過這種案件 所以我只能靠自己做功課
讓她照貓畫虎) 我準備要cite "totality of circumstances", 需要公司主要股東出具
聲明說 owners set their own compensation and the officer compensation was
available to pay extra salary if needed in 2014 (大概這個意思) (我們公司是S
CORP, officer compensation 老闆想寫多少寫多少....)
現在有兩個問題 1)有沒有人有這種聲明書的版模?? 2)我們公司兩個老闆一人一半
股權所以是讓兩個老闆簽名在同一張申明?
PS 達拉斯律師張玉如不推建 沒處理過這種案件專業知識不夠就算了 態度還非常差!!!

不懂你要求那东西有什么用？ 2014已经过去，officer compenstation早发下去了，不
能证明abity to pay (ATP).
建议你好好学习下面的case先。

The sole shareholder of a corporation has the authority to allocate expenses
of the corporation for various legitimate business purposes, including for
the purpose of reducing the corporation's taxable income. compensation of
officers, CIS (legacy INS) has long held that it may not "pierce the
corporate veil" and look to the assets of the corporation's owner to satisfy
the corporation's ability to pay the proffered wage. CIS, in looking at the
totality of circumstances, may examine the financial flexibility that the
owners have in setting their salaries based on the profitability of their
corporation.
1.The petitioner or counsel must actually make the argument that the
compensation of officers is discretionary.
2.Officer compensation must be greater (preferably vastly greater) than the
proffered wage in all of the pertinent years.
3.The amount of officer compensation should vary fiom year to year,
demonstrating no contractually fixed amount of officer's pay.
4.The officer receiving the compensation must be the sole owner/stockholder
or majority owner/stockholder, such that the officer possessed discretion to
set his or her own compensation.
5.The totality of the circumstances (i.e., other information in the record)
supports the fact that the petitioner is a viable, profitable enterprise.
This includes all of the usual Sonegawa factors: longevity, number of
employees, reputation etc.
我現在需要第1點公司聲明 the compensation was discretionary. That amount was
available to pay extra salary if need in 2014.所以我才po文章看看有沒有高手有
公司聲明的模版
因為我公司是 S CORP, 報稅時OFFICER COMPENSATION 基本上自己要寫多少寫多少 就
是因為他寫了太多了 2013 TO 2014 增加了 108％. 2012-2013 也才增加 39％.
..如果他們2014一樣只增加了 39％我就不用這麼煩惱了...
罵律師也沒用了 我錢已經付了.... 555555 她也不退錢 我也無法找別人.....
