We reviewed the language in their agreement, and I will be honest, it brough
t back some unpleasant memories. We walked away from this language twice be
fore. The major sticking points are IP and indemnity- there are other area
s, but these are the main ones. We even tried to reach out to XX on multipl
e occasions to negotiate the terms, and they were either non-responsive, or
advised us quickly that the terms were non-negotiable. I can give you more
specifics if you like, but the terms are not acceptable as presented, and XX
has not been willing to previously work with us.
So unless they are willing to make changes to their terms in multiple areas,
I cannot accept them. Sorry for the bad news.
