Question 1.
A和B决定合伙开餐馆，每个人出50万的资产，外加可以申请到适度的credit。他们雇了
几个first rate employee，并且A擅长商业管理，B有餐馆工作经验。问：他们该选择
什么样的公司形式？
Answer:我觉得应该是LLC，对吗？
Question 2.
餐馆开了6个月后，A雇佣了他的亲戚C当服务生。C刚刚从监狱出来(C由于assault and
battery被关了2年，由于被雇佣才提早出狱）。A和B之前有协定说所有的雇佣必须两个
人达成agreement，但雇佣C，A没有让B知道，而是单方面雇佣。结果事情来了，C和一
个客人争吵然后尾随客人在外面把客人打伤了。出事以后B才知道C被雇佣这件事。
请问：这个客人的chances of success in the lawwuit against (1)餐馆；（2)A；(3
)B； (4)C?
另外一个小问题：假设C第二次从监狱出来，和你是同学。上课的时候他和一个同学就
一个问题产生了很大的争执。你该怎么办？
Answer: 我感觉似乎什么都不应该做？或者去警告 |

an individual. As to A and B, it depends on the form of their business.
for Q 1, it doesn't necessarily have to be LLC. Depending on which state
they're in, they have many forms to choose from. Each state has their own
law and they vary a lot so LLC isn't always the most popular one. |

对于问题二，如果guest要claim against restaurant，要找什么方面的法律；如果
against C，要找什么法律。

发帖数: 86 | 11 I don't want to discourage you, but there is a reason why people hire
lawyers and don't always do everything pro se. anyway, for one, check
corporate law in your state. for two, it can be both torts and criminal law,
and corporate law and/or bankruptcy law can get involved as well. |
