Dear Tom:
We are pleased to offer you the position of Head of Global Sales and Trading
, reporting to John A. Thain, Chairman and CEO. In this capacity you will
also be an Executive Vice President of Merrill Lynch. We anticipate and you
agree that you will commence employment on August 4, 2008 (“the Start Date
