我理解的有：
1）公司上市IPO，公开市场卖出
2）公司被卖掉，卖给收购者
如果既没有IPO也没有被卖掉，start-up的股份能私自转让吗？如果能，有什么法律程
序？如何估值呢？ |

，好像在美国的startup圈子里挺有名的):

我看到的一些要点是:
--founders要在公司至少工作了3年以上了
--公司应该有显著的业绩。比如说有了几个million的revenue.
--这笔钱应该是给founder用来养家糊口的，而不是奢侈的。比如说28-35岁的founder,
在加州可以拿到50w到1.5 million。
--Founder要继续在公司作为关键员工, 因为公司不是福利院, 所以，cash out的钱是
给founder的激励措施
我的心得: 看到这些条件，我觉得还是和founder的业绩和对公司的贡献有太大的关系
了。你贡献大的话，倾国倾城的也由你挑的，否则，你拿一点点钱，VC都会卡的很严很
严的。
这种wishy-washy的startup equity, 没有什么统一的标准估值的，忘掉吧。如果你做
startup, 就当是上了贼船，别想啥cash out了，就等着做大了再说吧。否则，还不够
扯皮的. |

高科技公司估值比较困难是肯定的。

CHina. I feel like it's not as good as I think because I don't like the team
and it may not be profitable in the first 2 to 3 years.

CHina. I feel like it's not as good as I think because I don't like the
team and it may not be profitable in the first 2 to 3 years.
Trust your gut, if you don't feel comfortable working for the company, then
don't do it, even if you don't know the specific reasons yet.
