07:18 AM EDT, 06/03/2021 (MT Newswires) -- Merck (MRK) said Thursday that it
has completed the spinoff of Organon women's health unit.
Merck (MRK) received a distribution from Organon of about $9 billion in
connection with the spinoff, according to a news release.
Organon did not issue fractional shares of its common stock in the
distribution. Holders of Merck (MRK) common shares instead received cash in
lieu of any fractional shares of Organon common stock that they would have
otherwise been entitled to.
Shares of Organon will start trading on the New York Stock Exchange on June
3 under the OGN symbol. Shares of Merck (MRK) will continue to trade under
the symbol MRK, the company said.
The spinoff is expected to allow Merck (MRK) to achieve incremental
operating efficiencies of about $1.5 billion, which are expected to be
achieved ratably over three years, with roughly $500 million realized during
2021.
