没上市，是不是股票就是废纸？ 可是不明白为什么还提到VESTING的问题，假如
跳槽的话，是不是可以卖给别人，就叫VEST？ 卖的时候怎么算价格呢？ 假如公司
上市了，假如每股是10块钱，而这4万股，就是40万，请问我的理解对么。多谢！

Stock Option Grant. In connection with the commencement of your employment,
the Company will recommend at the first meeting of the Company’s Board of D
irectors following your start date that the Company grant you an option to
purchase 40,000 shares of the Company’s Common Stock (“Option Shares”)
with an exercise price per share equal to the fair market value on the date

离职的时候如果还没上市或者被收购，就作废了，即使上市了，离职的时候还没有兑现
的部分也作废

我的理解是只有上市或者被收购才有用，否则就是废纸
离职的时候如果还没上市或者被收购，就作废了，即使上市了，离职的时候还没有兑现
的部分也作废

发帖数: 2901 | 5 一般都要出钱，白送的话也会让你出0.001USD per share，意思一下
假设说给你权利以$2 per share买这4万share，到时候上市值$4 per share，那你这4
万就值(4-2)*40,000 = 8万，如果市值低于$2 per share，那就也可以选择不exercise
我现在就在一个startup，给了一些option，但是上市没啥希望，短期内也没看出来会
被谁买，准备跳走了，option应该就作废了

发帖数: 2901 | 6 你这个假设是基于你跳槽前公司已经上市或者卖掉了吗？因为如果不是这样的话你是不
能买的
即使上市了，你也只能按合同规定分期买，比如上市12个月以后你可以兑现25%，也就
是1万share，到那一天的时候你还在公司的话，如果市值是$12 per share，规定你的
购买价是$2 per share，那你就可以使用这1万share（相当于$2买进，$12卖出），获
利$10万
拿了4万share都不上网查查啊，我都是自己查的，也不知道有没有误导你
