A pair of private equity firms are close to deal to acquire clothing
retailer J. Crew Group Inc. for $43.50 a share in cash, or about $3 billion,
people familiar with the matter said.
Under the deal being considered, TPG Capital, a former owner of J. Crew,
would have a 75% stake in the company and Los Angeles firm Leonard Green &
Partners would own a 25% stake, these people added.

NEW YORK (Dow Jones)--Shares of retailer J. Crew Group Inc. (JCG) soared
early Tuesday following reports that two private equity firms are close to a
$3 billion deal to acquire the company, easily topping the rumored per-
share buyout price.
Under the deal being considered, TPG Capital, a former J. Crew owner, would
take a 75% stake in the company and Los Angeles firm Leonard Green &
Partners would own a 25% stake, people familiar with the matter told The
Wall Street Journal, putting the price at $43.50 a share in cash.
The shares were up 18% at $44.25 in premarket trading before being halted
for news ahead of the market open. The reported offer would represent a 16%
premium to Monday's closing price but comes in far short of J. Crew's 52-
week high of $50.96, hit in late April.
There has been a recent buying spree by private-equity firms and activist
investors in the retail sector, including Bain Capital's deal to buy
Gymboree Corp. (GYMB), which was completed Tuesday morning. The spate of
activity has led to a churning rumor mill in the past couple of months as
investors look for the next possible takeover candidate. But J. Crew hasn't
been among the names most bandied about.
Among other retail names seeing a boost despite Tuesday's broad market
downturn are Aeropostale Inc. (ARO), up 4.5% to $27.29; Abercrombie & Fitch
Co. (ANF), up 3.5% to $49.19; and American Eagle Outfitters Inc. (AEO), up 2
.4% to $16.86.
BJ's Wholesale Club Inc. (BJ) has been considered in play since Leonard
Green said in July it intended to approach the warehouse retailer about a "
going-private" deal, along with new financing options, as it reported a 9.5%
stake in the company. Shares of BJ's were recently off 1.7% to $46.28.
Janney Capital Markets said in a note Tuesday that Leonard Green's reported
involvement in a deal for J. Crew won't prevent it from also going after BJ'
s.
The firm said that if Leonard Green participates in J. Crew deal, its stake
will be small--about $350 million in equity, assuming a 50/50 debt and
equity deal. If a BJ's deal is done at $52 a share, Janney calculated that
Leonard Green needs $1.1 billion in equity. And with the current fund at $5.
3 billion, the private equity firm should be able to conduct both deals,
Janney concluded.
J. Crew has recently begun to show signs of sales weakness amid a lack of
fashion hits, discounting by competitors and efforts to elevate the price of
some of the company's goods to luxury status.
The company is expected to report its third-quarter results after the market
