一个中小学生辅导的组织招兼职老师，在发给我offer时，还发了一个non competing agreement，竟然把所有的中小学生辅导课程(STEM方向)都包括了。
给的也不高，就是挣点零花钱而已。还一次把所有的STEM方向都涵盖了，这个协议合理吗？怎么反驳呢？
竞业禁止协议在什么条件下，雇员不必履行？

们的公寓manager还要签字，不能当场给我们agreement的复印件，等入住了再给我们。
现在已经入住2周了，找一个小办事员要到了agreement的复印件。但是上面还是没有他
们manager的签字。小办事员回答说：现在的agreement一样有效，等他们的经理有空的
时候签字完了，会再给一份复印件给我们。至于给我们的时间 depends on，因为经理
忙。
没有对方经理的签字在lease agreement上会是个有隐患的问题么（这份agreement上好
多地方都留有manager签字的空白）？如果不算什么问题，也就不想催他们了，催其中
那个小办事员办事挺麻烦，经常说过的话转眼就忘了。。老美做事有时真让人觉得不靠

不能和我们签IP agreement,理由是他们公司只签涉及钱的IP agreement,比如说雇佣一
个Consultant, 可以和这个consultant签IP agreement. NSF Goali不能给公司任何
Funding,所以他认为公司不能和我们签这个 Ip agreement.现在怎么办呢？ 好像听说
有类似情况，没有IP agreement 最后还是拿到 GOALI funding 的。非常想拿到这个

签一份NON COMPETE AGREEMENT，要求十分苛刻，说是以后倘若离职，18个月内不得在
竞争对手公司工作。
我把NON COMPETE CLAUSE复制在下面了，我想请教各位前辈：
1. 我查到美国只有加州是禁止NON COMPETE AGREEMENT的。那么在加州以外的IT公司是
不是都会签NON COMPETE AGREEMENT？
2. 这种规定在实际中执行的怎样？以后跳槽公司真的会追究吗？RECRUITER说由于他们
的规定实在过分严格，在实际中是没有执行效力的。不知道是不是在骗我。
3. 在申请所有公司职位的时候，公司都会问你是否有和其他公司签过NON COMPETE
AGREEMENT。如果我以后告诉其他公司我有签过NC，是不是会影响跳槽？

（1） Exclusive buyer-agency agreement. 这个时候broker 有Excluisive right to
represent。不管是谁帮你找到的房子，你都要付agent钱
（2）Exclusive-agency buyer-agency agreement. 只有房子是agent帮你找到的时候
，你才付agent钱。如果是你自己找的，你不需要付commission fee
（3） open buyer-agency agreement.
绝大多数签的都是第一种。
Buyer agent的commision fee一般都是seller付。你可以问问他如果seller不付，会怎
么样？但这种情况很少。
agreement就是个合同，所以应该有个有效期。注意一下就好了。
你应该已经和这个agent合作了一段时间，确信你很信任这个agent，再签合同。没有法
律规定买房卖房一定要用agent的。

我49%的equity ownership, class A，让我具体运作这家公司。他自己忙别的生意去了
。他现在在修改公司的opearting agreement，把我加进去.原来只有他自己是owner.（
我们也去银行把我加到公司银行账户作为co-signer了。）
我从来没有签这方面合约的经验，拍被人坑，所以特地来请教大家我应该在这个
agreement上注意哪些方面的事情，以免到后来把公司全部搞上去后，结果我什么都没
有，或者更惨。我能想到的的问题是：
1.怎么避免他把钱卷走？
2.怎么避免以后他把我赶走，然后接手我一手建立的公司？
3.我知道不能出现被迫决定0% distribution的事情。这样年底我一份钱拿不到，而且
还要为我在公司账面上的盈利付税。是不是需要在agreement明确定义，至少1/2的
distribution？每个月一次？
4.公司是几年前他一手注册的。现在作为合伙人的我应该向他要一份公司注册等等之类
的文件复印件，我自己存档吗？还有什么文件我应该需要的？

你要去的公司肯定不在CA，在CA 公司是不会提non-competition agreement这种要求的。
你现在签了这个non-competition agreement, 你下次跳槽的时候，你的下家公司的hr
有可能会问你non-competition agreement。
我当年跳槽的时候，某家下家公司的hr专门问我要了agreement的copy给legal部门看过。
然后就不不继续下去了。
不过你现在也没办法，要拿offer 就要签这个agreement。 |

双方的车都报废了。我左腿膝盖内侧有巴掌那么大的一大块淤清并且还有点肿，当时有

大的一块面积吧）当时有一些pain的感觉，今天似乎好了点， 用手压这块肋骨会有痛
感，不压几乎感觉都到了，不知道这是不是在离心力甩的过程中，这块肋骨被安全带压
到了。副驾上的人身体的右边（肩膀，大腿右侧，屁股）有酸痛的感觉。去了一个大医
院的ER做了一些检查。做了X光胸透，肋骨没有什么问题。也做了膝盖肿的地方， 也没
什么问题。 还做了一个似乎是心电图似的东西，说心脏也没什么问题（因为我说心窝
上那一块肋骨有痛感）。还有就是问有没有头晕头痛和dizzy的感觉什么的。结果就给
我们开了止痛药，把我们打发回家了。警察给我police report 时， 说report 上有一
个witness 证明我们是绿灯。
身边的好多朋友建议我找一个律师要一些身体和心理上的补偿。 google 了附近的一些

直接老板的老板R，管所有developer的， 昨天vacation回来说，employment
agreement里面要求两个礼拜以上。我跟直接老板和team里business的头商量，我承诺
这个礼拜之前把一些东西加班加点作完。 他们觉得ok. 昨天下午我跟直接老板去跟R
meet. 最后他可能算被说服，最后他说，你以后要读employment agreement。 然后这
个要公司二老板说了算。（据了解，所有这种辞职都要经过二老板）。
请问一下说至少两周走， 我如果一定要一周走，违反了employment agreement，有什
么后果？会被告？ |

问题， 他们都不想回答，一个劲的催我make appointment 来office 谈， 所以就把这

。我早先也有预离之意，就提交了辞职。昨天收到HR的一封 Separation Agreement，
要我一周内签字。文件里提了好多法律名词及相关内容，譬如liability, release,
disclosure, severability 什么的，感觉不甚理解
。
想知道对于自动离职，这种agreement 是必要的吗？因为对agreement 中的内容不是很
懂，不知道单位葫芦里卖的什么药， 真担心又被这单位坑。想问问这有人能帮我看看

但是和新工作单位没有冲突，该如何回答以下这个问题？
如果回答是，是不是会被HR直接略过呢？

发帖数: 90 | 36 进公司的时候被要求签了Non-Compete Agreement，公司是设备的制造商，如果跳槽去
设备的分析公司（不生产设备,主要搞运用和管理同样的设备），这样是不是不算违法
agreement。
还有，在公司的申请表上是否签了Non-Compete Agreement是不是需要签YES呢？因为两
个公司没有直接竞争关系，我怕签了YES会影响我的申请。
有懂这方面的朋友帮忙解释一下吗？谢谢啦 |

，这份合约中的下述几项我不懂或感觉不太舒服：

直接老板的老板R，管所有developer的， 昨天vacation回来说，employment
agreement里面要求两个礼拜以上。我跟直接老板和team里business的头商量，我承诺
这个礼拜之前把一些东西加班加点作完。 他们觉得ok. 昨天下午我跟直接老板去跟R
meet. 最后他可能算被说服，最后他说，你以后要读employment agreement。 然后这
个要公司二老板说了算。（据了解，所有这种辞职都要经过二老板）。
请问一下说至少两周走， 我如果一定要一周走，违反了employment agreement，有什
么后果？会被告？ |

这个，换个方向的工作比较难找。
有时候想再去做个博士后，重新开始，希望这个不受non compete agreement限制，工
作都四五年了。
有时一想等着被雷算了，有同事跟我讲，这样non compete agreement限制就没有那么
厉害，人家容易给你工作，是吗？
但都给家庭带来不便，比较烦。 |

This type of agreement is between shopping centres and its tenants. Shopping
centres usually charge tenants percentage rent which is a certain percent
of its tenancts monthly gross sales. The agreement defines gross sales in

Compete Agreement。 第一次正式地和这样的NCA条款打交道，周围的朋友师长里面有
经验的也不是很多。合同里面有一页纸长的条款。请问这里有没有大侠正好有这方面
经验的，如何寻找律师在sign the agreement之前仔细帮助看一看。如果有推荐律师
或者律师所的，那就更好了。
公司在纽约市，纽约州。合同里面有另外一个section 明确设定"This Agreement is
governed by the laws of the State of New York"。如果州的信息是relevant的话。
