1995年我和维迎就国企改革问题的辩论，被媒体称为“北大交火事件”，那次争论媒体
进行了许多报道，其后我和蔡昉、李周合作出版了《充分信息与国有企业改革》以及其
他文章，维迎也有系列论著，系统阐述各自的观点。
张维迎的论述从现代企业理论出发，强调企业剩余索取权和控制权对称安排的重要性。
他认为负责经营决策的人应该享有剩余索取权和控制权，让真正承担风险的资产所有者
选择经营者，优先成为企业家，才能保证真正有经营能力的人占据经营者岗位。当一个
经济中不允许个人成为财产所有者时，就等于失去了判断经营者才能的可靠信息。国企
改革的出路是民营化，将企业中的国有资本变成债权、非国有资本变成股权。
我则认为国有企业问题的关键是“委托-代理人”之间是否会产生道德风险的问题。国
企(尤其大型国企)，是在资金稀缺状况下为执行优先发展重工业的战略而设立的，由此
承担了违反比较优势，在公平、开放的竞争市场上缺乏自生能力的战略性政策负担，和
为了解决就业和社会稳定的冗员、养老等社会性政策负担。
在有政策性负担的情况下，政府无法摆脱给予企业保护补贴的责任，形成了预算软约束
