对due diligence这个词的理解比较模糊
上来请教一下以下哪些算due diligence相关的：
1.公司实习的时候
根据人家公司的数据
用公司内部的模型分析准备in license的化合物的developability
2.学校里MBA的一门课：
学校tech transfer office把几个有可能申请专利或进一步商业化的技术给我们
我们小组一起分析该技术的市场开发价值，patentability
然后从4,5个技术里面挑选出最具有市场价值的技术进一步作了
creating viable product concepts
building the basis for a business
market research planning and implementation
3.自己lab里面发明的技术
外面的公司想要买
然后我和学校tech transfer office一起查专利，文献
分析技术怎么patent

不是就自动失效了？卖家会退押金的吧？
如果双方在due diligence period到期时，都还想继续谈判，就再延长几天。那这延长
的几天，还算due diligence period吗？在延长的这几天里，买家还能back out，拿回
押金吗？

coauthors真的是比较不好找。我发现我现在的绝大多数状态都是等。等coauhor
finish his/her part, 等coauthor send the paper off... 当然我也有coauthors
super diligent。。。总之， 还是自己solo的paper,自己做主比较痛快。。。 |

发帖数: 282 | 6 不一定是DILIGENT的问题吧. 我觉得合作之意义就在于分担, 但分担就会产生激励问题
. 每个人都有自己的优先集. 我从来不把自己的项目简单的认为是别人的优先项目. 在
一开始合作的时候, 就要交流好各方的日程和重视程度. 这一点应该在写论文的时候就
从自己导师那里学到了吧. 导师永远是慢的, 见不到的, 忘东西的, 但论文还是写出来
了, 导师还是经常有很大贡献的.
其实令一点就是不要害怕说我没有时间, 或者不要害怕告诉合作者需要等, 这样一来别
人才知道预期什么. 如果一方忙, 令一方完全可以多作些东西. 这是一个现值成本. 在
假设双方同等能力条件下, 成本低的一方多负责些是有效率的. 很久前看携程网的创业
野史, 四个人中只有一位在初期最有空, 那他做的就最多. 后来其他人才更多参与进来
.
当然, 特慢的也有, 我不会先忙别的吗. 一COAUTHOR都拖了四年了, 我的活都干完了,
他自己都不好意思了, 这不又积极上了.

不爽。这回有篇很好的journal paper, comments也还算reasonable, 可是那个印度同
事从感恩节后就不好好干活不见人
了，我只好自己改了，因为我是第一作者，大过节的，都找不到他讨论一下，及其郁闷
。可是下次又是心软或者别的politics
不得不又合作。哎，啥事都不容易。

签了之后才知道这个房子同一小区有两家去年以比我们低很多的价格卖出，就有点犹豫
。。。
可以因为价钱原因反悔吗？直接把due diligent fee给seller就可以了吗？
另外这样的话我们的agent会不会很难做？涉及信誉问题吗？ |

发帖数: 109 | 10 谢谢。您说的“需要双方签字才有效”，是指合同，不是termination的文件吧？
我的理解是：我作为buyer要终止合同，我要在due diligence period里在termination
上签字，然后通过我的agent发给卖方。这样就终止了合同，可以拿回押金。 而对方不
需要再termination上签字。
不知我理解的对不对？请指教，谢谢！
你有 house inspection contingency, 可以退出, 拿回定金. 需要双方签字才有效. |

信息学打基础的扑通蛙，仅仅上那个数学归纳法，可能 doesn't
promote comprehending mathematical structure。。。因为
这个巧妙的数学归纳法证明里，不需要理解 “完全图”。如果遇上
偷懒扑通蛙就不去理解了。。。当然，自推型天才蛙另说。。。
俺昨天跟娃聊 2012版美国数学计算题八的第十题解法的时候，讲到
理解排列问题的时候，发现确实可能是这个问题。。。在从 list
& check 到数学公式数学逻辑，当中有非常重要的一步体力活，就是
decision tree。。。这题里还包括用不同的 decision tree 理解
公式里的除法。
俺说到一半的时候，忽然想起来跟娃说，其实世界上的聪明蛙 gifted kids
实在太多了。这种题目给那些蛙，他们 intuitive 就能理解公式里
的除法，他们很多还会灵机一动想出非常巧妙的解法。。。 但是学
数学很多时候就是要拼体力。我怀疑有部分聪明蛙，可能就是因此而
不画各种 decision tree，（至少要在大脑里画），最后到超出

司，还是要律师一开始就介入比较好。有些legal due diligence象employment
agreement, sales agreement, supplier agreement, shareholder ownership等还是
先要律师做下due diligence。再者购买的形式asset purchase vs equity purchase也
要和律师一起决定比较好。
另外，financial/accounting due diligence也是必须的，要不是微小公司的话。再者
，美国的法律比较复杂，够买公司是比较专业的法律服务，一般的商业律师也是不一定
精通。要找比较专业的公司法律师。光懂合同法不懂公司法的律师也没用。 |

发帖数: 2377 | 45 从小到大，什么好吃没吃过，什么东西没享受过，就是学习，总是拖拖拉拉，爱学不学
的，今天拖到明天，明天拖到后天。
每当说到吃，我都是眉飞色舞，说起来滔滔不绝，我老爸老说我是个“吃货”，呵呵，
小的时候，大虾，三文鱼，龙虾，看得我就恶心了，早就吃腻歪了。我妈在我小的时候
专门塞我，记得也就3-4岁的时候，吃完饭，我妈还硬塞给我一个大鸡腿，我实在是吃
不下了，趁我妈不注意，我给扔到炉子里了，被旁边的大妈看见了，告诉了我妈，后来
，打了我一顿，此生难忘。。。。来美国后，我妈电话里老叮嘱，要买各种水果蔬菜，
注意身体，渐渐的，看到我吃的，现在也改口了，现在我妈老说我吃饭不要吃的太精细
了，呵呵。
浪费，是一个问题，无论在哪，每次吃不完就倒掉，后来来美国，和朋友一起吃饭，看
到碗里一粒米饭都不剩，着实触动了我，此后，浪费东西比以前少很多了，有时候还说
我自己。
放假期间，看了优酷的纪录片--记录者之换城，记录者之带孩子留学等，觉得我真是生
在福中不知福呀（其实，这句话家长都说过无数遍了，只不过是耳边风。）。我的生活
水准和水平，哪是人人能有的呀。。。
