我该怎么做呢？是承认还是不承认？还是承认了然后解释一下？因为我当时一点意识都
没有，但是警察说已经给我录像了，我当时也没让警察给我看录像，所以我根本不知道
是否自己真的犯了规矩。我今天仔细看了他给我的条子，让我１５天内联系法庭，大家
有没有遇到过这种情况？问题大吗？需要罚款多少呢？不会坐监狱吧？如果不承认或者
ARGUE的话万一法官判定我输了会不会处理会更严重？如果是承认并说明当时自己没注
意或者觉得当时凌晨路况很好，这样会不会好一点呢？谢谢大家。

两者相同点在于都是pass through entity。
不同点有很多，我就挑几个感觉跟咱家庭作坊式小生意有关的：
1：S Corp的股东不能是non-resident alien
2：S Corp对公司运营程序上的要求更多：比方说必须有Bylaws,董事会和officers。每
年必须开股东大会和董事会年会，还必须作会议记录。必须对股东开具股票凭证(Stock
Certificate)。凡是有重要的决定都必须有董事会或股东决议。
LLC相对而言少点，至少没有董事会，也不需要有officers，不需要Stock
Certificate。但是还是建议有一份Opearting Agreement（相当于Bylaws)。因为有些

者disregarded entity（业主与公司共责，不分责）进行报税。如果你选则
partnership 或者 s-corp的话，公司的利润不会被征税，所有的利润都"pass through
"到 owner和partner的个人报税里征收。如果是c-corp的话，就是我们所说的double
taxation. 公司的利润先被征税，然后owner和shareholder的利润和分红再通过他们的
个人所得税进行征收。如果是disregarded话，也就是个人和公司是一回事，业主在报
税的时候填写schedule c.和sole proprietorship类似。具体哪种情况适合你，最好咨
询专业的cpa或者ea,tax attorney.
2.关于第二个问题的回答：self-employment tax rate是 1.45+6.20=7.65，不是15%，

我希望已经是公民的同学也主动给自己所在选区的congressmen/women写信，表达自己
的诉求
