美国是传销的发源地。1945年，加利福尼亚州出现一种多层次的营销模式。1960年以后
，美国有公司以多层次销售为名非法敛财，被称为“金字塔式销售”。这种模式20世纪
70年代传入日本，被称为“老鼠会”，较知名的有熊本市的“天下一家会”。90年代由
美国企业带入中国。
那么什么是美国式“传销”呢？在国内国外的你是否遭遇过？新时代的美国式“传销”
更谨慎运用人类的谋利心理和所谓成功学极力扩大爪牙，变相谋取暴利，而大部分被骗
的人始终是蒙在鼓里。
次贷危机已过去近10年，印第安纳州的经济增长率仍低于美国平均值，住在美国中西部
城市印第安纳波利斯郊外的阿什利的丈夫丢了工作，他新找的工作薪水只有原来的一半
。为了维持生计，阿什利报名成了多层次营销公司LuLaRoe的一名服装推销员。

Particularly, the IRS code had changed substantially in 2016. I don't think
that any non-tax professional can figure this (FTC) out clearly.
He needs to hire an accountant who specializes in Mobility/Expat taxes. A
regular tax accountant (like H&R block) won't help.

1. Dispute throught FTC, FCC, BBB, or state attorney general
2. Add some statement at your credit bureau's report which
will be seen by all the people checking your credit history,
say, you were billed incorrectly. That's very common dispute
with long-distance carriers.
3. Hire an attorney.

一定不要忘了packing slip,这也是个拒人的理由.
我看大家很多时候都寄个order history, confirmation email
就完了,碰到这个sucker很可能碰到麻烦
而且即使你都寄了,也完全可能被拒.
比如我上次从COMPUSA买的一个DLINK的CF WIRELESS卡
都寄了,结果说UPC没有,RECEIPT没有
难道我就寄了个FORM就去要钱了?
好,RESUBMISSION了一次,说UPC要ORIGINAL的
靠,ORIGINAL第一次就给你了,我到哪里去找ORIGINAL的?
反正没事的时候我会找找COMPUSA和DLINK的晦气
至于这边嘛,我FILE了BBB和FTC,还让他们把我交的东西
还给我,什么时候有空去small court告一把,也给他们

dealer in the US, regulated by FTC. Cyprus based firms are basically online
gambling companies not regulated. Your fund's safety is a big issue, not
even mention legal/tax issues. |

涉及到诸多方面：
首先，Due Diligence并没有做好，到事发前一周才发现Philidor，今天两封态度截然
不同的邮件更是彰显此刻比尔内心的挣扎。
其次，Bill Ackman对该公司的商业模式过分自信，根据其在sohn conference上的
presentation 来看，他当时给出了16*16=256（有一个16是预估的CASH EPS）的估值，
相比现在70+，的确让人大跌眼镜。
Bill Ackman在PPT中的对比，主要是列数了平台型的Valeant 和传统药企的区别，认为
Valeant的属性更像是一个hedge fund, portfolio较为多样化，因此能分散风险，同时
，由于可以直接收购Phase III阶段的药企，这样实际上FDA审查的阻力会小很多。另外
自己几乎等于砍掉了R&D方面的支出，省了一笔钱，在收购完之后也能砍掉原公司大部
分的研发部门方面的支出，岂不爽快？
当然，Bill 没把话讲完。
