无限责任公司包括:
-Sole Proprietorship (一人独资)
-General Partnership (两人或多人经营的)
-Limited Partnership
有限责任公司主要包括:
-LLC: Limited Liability Company(有限责任公司），对于small business来说，这个
是比较合适的一种形式.
-C Corporation: 股份有限公司。C Corp的盈利有双重收税，公司税和分红税。如果公
司的收入或者净利润会很高，那么C-Corp可能会是更佳的选择了. 因为C Corp的盈利挣
的钱，可以放在公司里，按照公司缴税，税率比较低。而和个人所得税一起交的话，有
可能会tax比较高。而且C Corp有很多LLC没有的税收减免。
-S Corporation: 最多不超过100个股东. S Corp仅限于美国公民或者常住外国居民(
resident alien)可以注册。

sole proprietorship (有时也叫 DBA), partnership, corporation (small business
通常是 S-corp, LLC)
如果做sole proprietorship，要去county注册一个 fictitious business name就可以
了。也可以再去IRS申请个EIN号。通常的home business都是走这条路
如果做普通的 partnership, 也是要去county注册 fictitious business name。如果
是 LLP，就要去州政府注册。
corporation一定要去州注册。
最后，无论你选了什么样的形式，都要再跟city申请一个business license。 |

，但州议会并未进行讨论与表决。根据法律规定，未讨论的法案在第二年的普选时交由
选民公投，也就是今年的 11/5。如果通过，将在 7/1/2015 实施。
法案要求所有经过基因改造的食品，或者含有基因改造成分的食品，都必须明确标示。
正方认为这是民众知的权利，反方认为这会提高食品价格，尤其对本州的中小企业不利。

是自然人，可以是机构，但是必须填写。这是注册的要求之一。很多代理注册的机构也
是通过收取代理人年费盈利的。
但是对于小企业来说，代理人没什么用处。高中学历以上的人，自己就可以胜任。
德州政策很宽松。如果企业没有经营，或者销售额少与100万美金，则没有收入税。企
业主只要每年按时报两个表格就可以保持身份。无需支付任何税费。如果是在加州，对
于LLC来说，即使没有经营，每年也要支付800给加州政府用于保持身份。
关于责任，LLC可以帮助企业主规避大部分责任。只要企业主没有违法行为，基本不用
担心企业经营不好而倒置自己破产。比如你通过LLC借了银行100万用于经营，但是经营
不善，最终企业只有30万剩余。那么银行只能追溯这30万，而无权要求任何你私人名下
财产。如果不是LLC，而是Sole prop，同样情况下，银行可以追讨30万之后在追讨你个
人银行存款。不过银行也不傻，他在借钱给你之前就会充分考虑你是LLC，LP还是Sole
Prop。然后决定可以借给你多少钱。

美常见的summer flounder/fluke，肉质太柴，无味，winter flounder肉质酸，弥，以
前和bass在罗得岛买过那种圆形的flounder，还不错，名称不知道，不是很常见。
龙利正确的归类应该是sole，而一般来说，sole类的flounder鱼，味道都好于普通
flounder，比如国内常见的大鳞舌头鱼，小鳞舌头鱼等。龙利身体两侧连接鱼鳍部分，
鱼油太多，有些腻，但身体上的肉比较细嫩，还算不错，不过要口感很好，需要使调料
入味，加上龙利鱼肉的本身细嫩，才行。 |

1. The shafts are "uniflex", which means they are between R and S. But I feel
they are more "R" than "S". Maybe because I've been hitting a low
handicappers' iron set before and those are very stiff.
2. The soles are very thick. The advantage is it's very easy to carry the ball
into the air with these irons. You dont have to worry about digging into the
ground (matt) when hitting fat - the thick sole will keep the clubhead

2. callaway x-18 (narrow sole, even-distributed weight, man's regular shaft)

at end, i was suggested to focus on any brand with properties from 3rd set(
is it reasonable?). my budget is around $500 for iron set and wonder what

1. Ben hogan说左手肘指着左髋骨, 右手肘指着右髋骨(两个手凹要朝天, 不是朝内).
刚开始觉得有点别扭而且很funny, 但是好像有助稳定性?
我觉得一个明显好处是, 这样的address姿势在backswing时, 左手肘关节会很自然的
lock住保持很直(不知道是不是这样做的用意?)
2. Grip到小腹的距离. Tiger书上说无论driver还是wedge, 都是一个距离; golf for
dummie说一个手掌宽度.
觉得这样的话, swing的时候手上臂就是贴着前胸扫过的(不知道是不是这样做的用意?)
3. Iron 的Sole要平贴着mat吗, 就是说angle of approach=loft?
还有一个常识问题, 是不是如果: 1.iron的sole平贴着mat; 2.club head facing
square, 那么shaft一定垂直于target-ball-line?
如果以上两个都是对的话, 那么正确的iron contact的时候club head就是处于

MT20 is really comfortable.
Decided to use HS4 for speed work on pavement. MT20 feels thin, can
easily feel small stones. I may need some months to toughen my feet
up using MT20.
Wave universe indeed feels great. Also have two pairs of inov-8

买的sole F85,consumer report第一是sole 80,我加了点钱买的85,宽些，重些，HP大
些。在amazon买的，然后我和我爸一起装的。装停容易，但是弄到指定room不容易，不
是white glove delivery.所以悔呀。在local看到的话，可以搞定的还是在local搞定
，可以付点钱包安装。
比较了preso,还有其他几个，我觉得F85最中意，life fitness木比较，店里没看到
display,但是在hotel,fitness里面用过，我觉得还是最喜欢的，脚感最好，但是贵呀
，看的上也要7,8千了。现在低于2千搞定这事，我停高兴，觉得今年的best buy了。
没事就上去跑一会，一天能跑上去好几次。而且也是我心目中跑步机的样子。。。推荐

挺明显的, 有点烦人. 我仔细比了一下155和233的in sole, 大半号的155的in sole要
比233长一点, 所以这两个鞋号的差别应该不到半号. |
