Dynegy Inc. (DYN) said Tuesday that one of its subsidiaries has skipped an
interest payment of nearly $44 million on outstanding debt in a move that
could lead to default.
Dynegy Holdings LLC skipped the payment on senior unsecured notes due in
2016 that carry interest of 8.4%, Dynegy said. The company has 30 days
before the missed payment is considered a default on the debt.

配劣势，容易被wipe out。同时有一个买家就有一个卖家，这些鸟人只不过是众多大众
抄底者的之一罢了。在如果破产的时候，分钱顺序分下来，如果secured bond holders
还有什么什么剩下的，才可能会轮到他们。然后他们如果还能分剩些什么残羹，而后才
是common share holders。一般肉到了他们那就已经没剩什么了。但至少比普通穷苦
common大众强一些。
过去很多案例里面出现的是，在破产之前（比如说jcp下降到1块多的时候），这些debt
holders就会和公司开会，讨价还价一番，看看能收回多少成本算多少。相比较，
commons的命运就是被任何人主宰。。。唯一的选择是卖掉手中的股份，要么一旦破产
，就等着一切基本归零哈。
这些人也是抄底者的人流之一。只不过他们抄的东西比普通股票高一级，一旦输了还剩

收息。所以可以说是，随时增发？这种事情其他股票也有，所以对于长远的具体影响，
确实难说。FCEL现在总流通值在280万，36万全换了也不算太糟糕，，？，，？另外另
一条sec的新闻我没贴，说是这一次的shelf registration一共总值150万，里面内容很
多，牵涉到什么preferred shares等等。太长了没去看。所以不太清楚，这次是不是只
发了一部分，以后还会不会有更多的。

看最近的走势，公司可能要发行新股来替换unsecured notes (估计$520M)，新股发行
的价格可能在$5-6之间。现在机构做空，到时直接从公司买入新股，都不需要cover的。
WLT已近不能在举债了，现在只能玩share holder的那么一点点价值，来延长liquidate
的时间。如果公司真sale asset, 把canadian 的两个矿给卖了，至少可以卖1.5B，那
对股东是绝对的利好，但是damn CEO拼死都不把老爸（老爷）留给他的基业给卖了，就

ETN是unsecured bond，没有任何担保的债券。你把钱借给这家公司，定价权在他们手
里，他们爱还你多钱还你多钱，最差情况，例如雷曼兄弟2008年破产的时候手里开了三
家ETN，这些holder的资产随着雷曼的破产全军覆没。
你，还想买这玩意么？真想么？你还不如把钱给mingong，赚了让他分红20%，亏了你自

1. 收购股票，就算不用给premium, 也要花 $54B, 另外花$20B还掉所有债务，相当于
花$74B可以得到100%无债务的TSLA;
2. 花$20B收购所有债券，等TSLA还不起债default，那么你也可以得到100%无债务的
TSLA。实际上你可以只买secured bond, 因为如果default, unsecured bond也大概率
归零。另外也可以同时买些CDS, 所以也可能用比$20B低很多的成本就能达到同样目标。 |

信用卡债是美国最不可怕的债，unsecured debt，这个和学费债，房贷都不一样。各州
对于信用卡怎么追讨，追讨年限(一般3-5年)都有严格限制，保护消费者，尤其是你这
种有实际巨大意外困难的。
你这种情况最好的办法是找一个正式的debt management公司，让他们出面代表你去和
信用卡公司，医院谈判去，这种情况太常见了，先把APR搞下来，省得利滚利不可收拾
，最后你可能只需要付一半甚至更少。
这个事情其实你也可以自己做，直接跟信用卡公司谈，不过没有经验的话，可能找到的
不是最好deal。
信用卡公司为什么愿意讨价还价? 明摆着的：
１)很多人这钱就是还不上了，越拖越没戏，最后法律规定不能再讨了；
２）最后卖给collection公司的话，很便宜，一快钱的债务可能几分钱就卖了。
3)律师费什么的耗起来不值。
你的信用分会受伤，但是和破产彻底trash掉比，强太多了。 |

a total devastation. It provides individuals with a fresh start. Some states
(e.g. Texas) provide very high limit for exempt properties (e.g. House).
So, with good planning, you can convert your asset to exempt property, which
you can keep after bankruptcy, and use bankruptcy to get rid of a lot of

company sues the kids who opt to inherit their father's assets, they would
have NO obligation to repay.
this means most credit card debts die with the deceased. very few credit

概只有几分钟. 其所有的银行资产/负债, 除了SENIOR UNSECURED DEBT,
SUBORDINATED DEBT 和 PREFERRED STOCK , 以及属于WAMU的"壳"公司 (HOLDING
COMPANY)和非银行分支(比如发行证券的SPV等)的资产以外, 已经全部转移到JPM名下.
几乎所有WAMU的员工, 已经成为JPM的雇员.
因为此次是美国两大银行的合并, 预计整合的过程, 大概至少2年. 根据以往经验,
此其间 不会立即有LAYOFFS发生. ,所以, 请WAMU的同学不要慌张, 至少3-6个月以内工
作不会发生大的变化.
WAMU所有的银行业务维持不变, 那些趁机琢磨着可以不付信用卡不还贷款的同学, 如果
想留下不良的信用记录,那就请便. 还有那担心4%CD的同学们, 你们的存款到期后, JPM
