Upcoming Events – Illumina’s (ILMN) annual meeting is scheduled for
Wednesday, April 18, 2012. Additionally, Roche’s unsolicited tender offer
for ILMN is set to expire on Friday, April 20, 2012.
Story – On January 24, 2012, Roche announced an unsolicited offer to
acquire all shares of ILMN for $44.50 per share. This offer was increased
to $51 per share on March 29. The offer has been rejected by ILMN as
inadequate and not in the best interests of its shareholders. Roche has
also made a number of proposals that will be voted on at ILMN’s annual
meeting. If all of Roche’s proposals are approved, Roche would take
control of ILMN’s board. Roche has said that, if elected, it expects its
nominees to take steps to maximize value for ILMN shareholders.
We believe it is unlikely that Roche will be successful in getting its
nominees elected to the ILMN board (three main proxy advisor firms have
recommended that ILMN holders elect ILMN’s nominees, not Roche’s nominees)
. Accordingly, there are three primary outcomes we could see at the end of
this week:
• Roche announces that it is ending its attempts to acquire ILMN
• Roche lets the tender offer expire without acquiring any shares
but states it remains committed to seeking a deal with ILMN
• Roche extends its tender offer and says it will continue to
pursue a friendly deal with ILMN
• (There is a fourth scenario whereby ILMN adjourns its shareholder
meeting because it has entered into discussions with Roche, but we view
this as a pretty low probability event)
We believe that an acquisition of ILMN by Roche is still more likely than
not to occur for the following reasons:
• The combination makes strategic sense for Roche as it looks to
move gene sequencing out of the lab and into the clinical diagnostic setting
• Although Roche has said it has other options, we do not believe
there are alternatives that will position Roche nearly as well
• Roche has stated its willingness to increase its offer if it gets
to conduct due diligence
• ILMN’s board has not said that it is opposed to a deal, just
that the current offer is not an appropriate starting point for negotiations
The most likely path to a deal is for Roche to increase its offer for ILMN,
likely in private, and for the parties to proceed to negotiate a deal. We
note that in Roche’s hostile pursuit of VMSI, it took over 4 ½
months before the parties entered into a confidentiality agreement, and more
than two months from that point to agree to a deal.
In the event a deal does not materialize, we peg the break-price for ILMN in
the $40 range.
What to do – At ~$45 per share, we believe ILMN shares are pricing in a low
probability of a deal, and that the $7.50 drop in the past three days
represents shareholder concerns that Roche will walk away entirely if it’s
nominees are not elected to the ILMN board. With ~$5 downside and possibly
upwards of $15 of upside in the event of a deal at $60 (Barclays Research
price target), we believe a long position in the shares offers an attractive
risk / reward. As an alternative, investors could look at the Sept 50
calls to get upside to a potential deal. | m****s

college friends work in ib is like the regular job, not much ot, making 60 -
70k. But my privious coworkers grad from Harvard , MIT and upenn, they
worked from 9:30 to 2 am often times and only have half Sunday off, but
they making 160 - 180k. And I heard they got promoted quicker too. | H********k

发帖数: 713 | 11 你要是想在纽约做投行，那么中银的实习机会基本没用。现在投行管面试的人也变精了
，知道很多中国的实习靠的是关系而不是实力，而且中国的经历对纽约的工作帮助十分
有限。如果是女的建议去搞个cheer leader或home coming queen会更有帮助。
