收购价格或在25亿～30亿美元

光明食品集团昨日对《第一财经日报》证实，收购美国维生素零售连锁店健安喜(
General Nutrition Companies，下称“GNC”)的谈判接近达成协议。但光明食品未披
露收购金额等更多细节。
根据昨日路透等外电的报道，该收购案的收购价格在25亿～30亿美元之间。另有消
息称，黑石集团(Blackstone Group LP)可能在此收购案中与光明食品联手。
对此，光明食品方面表示，25亿～30亿美元只是外界对GNC的一个评估价格，最终
的出价将根据谈判而定。与此同时，光明食品方面否认了黑石的加入。
重新上市漫漫路
GNC成立于1935年，总部位于美国匹兹堡，该公司通过其在全球约7100家零售门店

在Apollo 11载人登月以前，登月仓从来就没有在月球表面降落过，更没有起飞过。
Apollo11以前的十几次发射，MD十分谨慎地测试了Apollo计划的前一半步骤，然而却把
登月仓着陆，月面起飞，月球轨道对接这些最关键最危险的步骤全部跳过，直接扔了个
活人上去？？

claim. If apollo actually does everything perfectly near the earth and on
moon orbit, how many would notice? 100? 1000? 10,000? Does your argument
still flies if that was what happened? The credibility comes from NASA, you
know how large it is. That doesn't mean the live videos are from the earth or moon orbit, though.

个软工花几个星期功夫作的一个简单的软件，只是模拟测试，而没有实际运行却最终完
全不出错的可能性几乎不存在。而载人登月这么多人参与，这么复杂的系统工程，在实
际操作中会有无数未知和不可预测情况发生的情况下，能够一次成功，甚至没有遇到任
何险情，这个可能性为零。
年时间，而且一次成功，这样的事迹只可能出现在笑话书里。闭门造车也能这么NB的设
计水平，如果在人类社会存在，也肯定是向美国讲的，“设计图纸丢了”。 |

发帖数: 858 | 37 我老是学文科出身的，所以扯淡从来几天几夜都不累，但是真涉及到CS的具体技术就虚
了：毕竟积累太少太差，如果技术有错，大伙轻拍。
先说说热门的话题之一：亚马逊的Apollo和Brazil系统，也就是他们的build、version
control到deploy一条龙。的确很先进，有亚马逊人去了Google甚至认为Google的类似
系统也不如亚马逊先进（我个人持保留意见，因为不了解Google）。简单来说强在所有组
share同一套build-deploy系统，所以只有一个build team一个apollo team什么的管理
就行了，什么dependency之类的头疼问题非常好解决，而且deployment可以随时deploy
随时rollback，这个真的非常强大。
所以亚马逊其实几乎不需要Test。因为（理论上）可以随时deploy，系统一旦出问题立
刻rollback，然后再重新改code就是。这就造成了亚马逊很多组就把production当test
环境了……听起来很吓人，但是实际操作中会发现，的确没什么大不了的。真正引发大

没有build好那会很大的延长build的时间。而且也可能会引入很多dependency
conflicts.
deploy
Well，性能瓶颈不是经常能观察到的。我相信在它成为问题之后Apollo会给出一定的解
决方案。但这种通过central service监控的design是有fondamental的limitation的，
你无法想象用Apollo给整个EC2 fleet（数十万台机器？）做deployment，呵呵。
我已经强调过，A的solution很先进，但有它适用的use case.

假设用户编辑两个照片，分别设定下面的tag：
照片1：{a, b, c, d}
照片2：{a, d, e,c}
那么服务器端收到两个照片的编辑信息之后，开始建立（或者更新）以下的forest:
tree a
a-> {b, c, d, e}, 其中c,d边权重为2, b,e边权重为1
b ->｛a,c,c}, 权重全部为1
....
这样和a最相关的我们认为是c,d。推荐c,d tag里点击数（或者其他的衡量标准）最高
的照片。
举个例子，如果输入为

【侨报网讯】在经过两年多的谈判之后，大连万达与全球第二大院线集团AMC21日签署
并购协议。万达的此次并购总交易金额26亿美元，包括购买100%股权和承担债务两部分
。 >>消息称万达或将百亿收购北美第二大影院AMC
中国网报道，万达并购后投入运营资金不超过5亿美元，万达总共将为此次交易支付31
亿美元。
据悉，双方的并购谈判一年多以前就已经开始，其间断断续续，最近几周双方态度更为
正式，AMC为此还停止了计划融资4.5亿美元的股票发售方案。
AMC现在的拥有者是一投资集团，包括Apollo投资基金、摩根大通合伙人、贝恩资本投
资者、卡莱尔集团和其他人。大连万达目前主要在与Apollo投资基金及摩根大通合伙人
进行谈判。AMC的估值大约为15亿美元。
据公开资料显示，AMC于1920年在美国堪萨斯成立，旗下现有350家影院，5050块银幕，
是全美第二大院线，在全美排行前十的电影院中，AMC拥有6家。
