Take a metaphor, resistance exercises build the muscles and rough framework

日本不过做了跟中国同样的事：一是不管他在国内的滥杀。二是给钱。有这两条，杜特
尔特跟谁都好。他对日本大表亲近，称“日本是比兄弟还亲的真正朋友”。他保证不放
弃南海仲裁，还邀请日本到南海举行联合军演。
中国媒体对这些消息只好集体失明。当局显然哑巴吃黄连。
应该说，不干涉别国内政是日本的一贯方针，并非这次单对菲律宾的策略。当年六四中
共屠杀中国人，西方各国制裁，日本也不参加。当时就有人警告日本说纵容中共作恶会
自食恶果。后来真应验了。得到日本援助发展起来后，中共就翻脸以百倍的恶毒煽动对

市场价做差值来收income税。但如果是没上市的呢？option vest了之后直接花一笔钱
exercise的话也没有“市场价”做差值那税怎么收啊？不收吗？
这种是不是exercise了hold超过一年就可以按long term capital gain算税，不用非得
上市之后hold超过一年？option应该不用非等到上市之后才能exercise吧，不然的话上
面全白说了。。

首先已经快被卖了就几乎不算赌了吧？
公司被卖股票价格要是还能跌的话也不容易了。多少能挣点的话，也算比别的投资方式
更赚了吧？
好像有种说法是exercise一年以上可以交capital gain的税率，这种说法的话，哪怕你
不走也可以exercise了。

想问一下，好像还有种说法是exercise option后，每年要跟公司问股价，然后给IRS叫
409A，也就是股价价值的40%的税。万一股价跌了也是靠以后n年退税退回来。
这样的话exercise就有风险了，可能买得起税交不起。

不管是ISO还是NSO，grant，vest，hold都不会触发交税。触发交税的event只有两个，
第一个叫exercise，你选择把option变成股票；第二个叫sale，你把股票卖出去变现金。
其实ISO和NSO的差别是扒两层皮和扒一层皮的区别。ISO某些情况下好，因为在grant和
exercise的时候不需要马上交税，NSO需要在exercise的时候，马上按照FMV - grant
price的spread来交income tax。在exercise之后两者都是一样的，持有一年以上再卖
算long capital gain,不然就叫做disqualified disposition，算short term capital
gain交税，税率基本和income差不多。
然而，如果在公司愿意配合你的情况下，NSO可以搞成FMV - grant price = 0，配合
83b条款，NSO那第一层皮扒下来交的税是0，而且还不会计算到AMT的收入里面。这种情
况下NSO比ISO强得多。 |

不信你问IRS。
可为什么公司帮你躲NSO，却不帮你躲ISO的？如果fair market price跟你的strike
price一样，ISO的spread同样是0啊。难道这公司在你这边让你不用掏钱交税了，但在
自己那边的账上记的是otherwise？NSO的spread是公司可以用来帮它自己做tax
deduction的，但要为省这个钱这么不正规的公司，还真不敢招惹。
也许你想说的是early exercise？如果公司允许early exercise，那就是很有可能
spread是0啊，不用作假啊。
每年100K的限制在你看来到底是好事还是坏事？你是觉得限制高了还是低了？假设普遍
认为ISO比NSO差，那大家大可以取限制的下限0，然后全部转换成NSO啊。
ISO 两年grant一年exercise来获得long term gain的限制也没什么吧？频繁跳槽就算
一两年一跳吧，你如果两年跳走，那grant已经到两年了，而NSO同样一年exercise才能

，但没有卖。到了第二年 4.15 ，要交税时，股票已经不值钱，但税还得交，如果

record the number for a few days, and see when she get the high number and
when she get the low number, the adjust the timing of the med, if possible.
For young persons with type II DM associate with obesity, weight loss and
exercise may help them discontinue the med. for seniors, exercise can help
to control the DM, but should also be careful about the hypoglycemia episode
when exercising, and the fall when exercising. |

Sit-ups are generally not recommended during pregnancy. This is because
the movements involved may traumatize the uterus or abdomen.
Sit-ups are of particular concern after about the 4th month of
pregnancy. Any time you are on your back after this point, you run the
risk of the uterus compressing the vena cava (a major blood vessel)

我生孩子是二度撕裂，缝的三针被睡眼惺忪的值班OB缝漏两针（一针漏缝表皮层，一针
连肌肉层都缝漏了），考虑到拆开来重新缝太遭罪，我的OB建议我等等。我就这样跟以
前在家里自然产的旧式妇女一样，足足拖了8周（走路那叫一个遭罪，简直只能过挪，
躺着也不得劲），总算屁股争气，居然自己长起来了，可是总觉得会阴变短了，而且至
今未敢过夫妻生活。
产后我的月子也做得潦草，很早就加入洗衣做饭提水给孩子洗屁股扛娃等家务劳动，主要我妈一个人实在忙不过来，老公又只休到一周的假。
后来我就老觉得耻骨疼，后腰疼，站久了走多了就觉得下面坠涨，看看阴道口又似乎没
什么，而且睡一晚又好了；所以开始我们都没在意。
终于有一天我妈想到可能是子宫轻度下垂，我上网一查，看到其后果和图片，吓到了。
就开始吃补中益气汤，做胸膝卧位，Kegel exercise；又赶忙去看医生。结果我的OB（
老白）检查后只说：the baby really took a toll on you，没有直接回答我关于子宫

I had the exact same problem as you when I was at about 7-8 month post
partum. I remember coming to this board asking the exact same question.
Some responses were that my stomach was bigger from the "yuezi" and that my
stomach could be dropping.
I started exercising about 2-3 months ago (not to solve this problem but
just want to get back to my normal weight) and lost about 5 pounds since
then and suprisingly this problem is much better now. I still think I'm fat
