我个人的观点，F1学生转为绿卡后，如果还是full-time student，并且没有从事其他
工作，是可以享受treaty的deduction。理由如下：
1. 在Tax purpose意义上，Alien只分为Non-resident和resident。在IRS官网

，不仅仅是因为halibut可以大得多得多，更主要是halibut是两眼歪到了它的右侧，而
flounder是两眼歪到左侧
而sole的话欧洲吃的比较多，和halibut及flounder亲缘关系更远，都不是一个亚目了
，体形也明显不一样
鳎嘛的话和sole亲缘关系比较近些，但又是一大类，sole起码还有明显的尾部，鳎嘛干
脆没有了

里可以上菜单卖钱的那种名贵，一般在外海才会有，而且体型非常大，大到你钓到以后
必须用枪打死！我们州的钓鱼规定里有一大堆针对 Halibut 的特殊规定，例如要填写
catch record card，一天只能钓一条两条之类的。
但 sole 与 flounder 就很贱，我们州的钓鱼规定把这两种鱼（跟其他鱼）归入为
bottomfish，bottomfish 一天可以钓 15 条。我没仔细去学如何辨认，因为很少碰到
也从不留鱼。（其实这种鱼我们很多，但都是非飞钓的人在钓。）
有一次朋友转送了我一包 Flounder/sole filet，他的朋友的儿子就是在 pier 上专门
针对 flounder/sole 的。钓一堆回家，自己还要费劲清理切成鱼排然后送人。

inner sole to my feet. Basically they heat up the sole, and I have to
stand in them for about 10 minutes or so. Until it cools. They didn't do
this for your inner sole?
Of course maybe your pair of boots doesn't need to have this done, but most

早的几篇sole author的文章的工作是和当时实验室另一队人马思路不合，我自己进行
的平行工作。最后我做出来了。然后实验室方向也因此调整了。这我老板都知道啊。当
时和文章有贡献的funding都写了啊。
还有闷头写闷头算的也未必是sole author。谁出的点子就是一大功劳。当中解决关键
步骤的又是一大功劳。付出时间最多的那个也许只是学徒，功劳簿上少不了，却不是关

然后备选的友life fitness, preso, 这两个是Gym和commercial hotel用的很多，我试
了两款preso,觉得它的4000以下的都不喜欢，比较喜欢life fitness的，但是比较贵，
选同样参数的也要 4,5000往上，比较喜欢看的上的就要7,8千了。所以从价格考虑sole

要试用10分钟以上。 个人感觉$1000以下的基本上都很不稳（我6ft, 接近200磅）
健身房里常用的机器（Precor， life fitness 这样的牌子）都是$3000以上的
最后我折中买了Sole E35， 很重很皮实。 缺点是飞轮在机器前边，感觉上和健身房里
飞轮在后面的机器不太一样。（觉得Rear Drive的机器更舒服一些） Dick's
Sporting Goods店里可以去试， 网上评价很好，warranty比较长，一些3星，4星
旅馆的健身房也用这个牌子。 反正我是准备长期用的，担心买个便宜的机器万一坏了
要扔掉也是件非常麻烦的事。（之前有个 ICON fitness 的跑步机用了一年不到就坏了
，家里没卡车，Township又不收这样大件垃圾. 车库里堆了几年后最后花了钱扔掉的）
从Sole网站买大多数州不用付tax 和shipping，和他们sales 直接email还价大概还能
要到额外的10% off.

可是IRS有regulation：sole priorities每个人只能申请一个EIN，哪怕有很多这样的
business，只要是一个人持有的就只能申请一个EIN。所以如果你有真正的business，
而且不是sole priorities，是LLC或者Corporation之类的，每个business都可以申请
一张Bold一张Plus拿bonus；sole priorities不行。
不要为了这点蝇头小利尝试申请多个EIN啊，被IRS audit 后果很严重的。 |

是不应该填schedule c来报税的对不对，不然就违反了移民法？影响以后绿卡申请？

1. H1B可以sole proprietorship吧？本来想注册LLC，但是觉得刚开始好像没必要，每
年还要交800块钱，还有那么多手续，是不是sole proprietorship也可以？
2. 网上查了一下，申请DBA有的说是到Secretary of State，有的说的the Department
of Corporations，有的说到county or city office, 没有查到明确地点
3. 主要做的都是在网上交易的，需要建个网站，这个跟公司形式也没什么关系吧？
4.sole proprietorship 可以在银行申请到公司帐户吗？还是希望跟个人帐户分开，清
爽一点。
5. 怎么查是否需要permit?
不好意思，都是小白问题，自己也google了半天，还是觉得到这边确认一下比较好。帮

我们州注册C-corp时，只需要列出total authorized shares, 并没有要求列上股东名
单。也不是所有股票都必须分配好。我现在想到的一个办法是办个sole shareholder
corporation，开银行帐号，然后再issue股票给国内股东。正在搜sole shareholder
corporation和sole director corporation。

不需要对方来这里签字。取决于谁是LLC的organizer,对方可能都不要在注册文件上签
字。至于股东决议，Operating Agreement等内部文件，如果在文件中写明复印件与原
件有同等效力的话，他可以在国内签好字然后把扫描给你就可以了。如果需要起草相关
