成的，正式因为在长途业务被联邦跨洲监管，所以at&t得以垄断长话业务，进而把市话
业务打得死死的，at&t例子正好说明了任何被监管审批的业务都不会有足够的竞争，相
反的例子是ibm，对ibm的antitrust没有通过就是因为司法部和法庭认定计算机市场没
有政府管制所以会有足够的竞争，当年dell，乔布斯都可以从车库里早就一个百亿或者
千亿的企业。

We are surprised that we got the money.
We got a letter about the lawsuit. However, We did not fill and return the
form.

。MS也是一样。LINUX做了这么多年，市场份额还不如苹果一年长得快。扶不起来的阿
斗，自己软了吧叽的（我不是在说JOBS啊，有些人别多心，也别冲动），还怪别人太硬
。IBM也是同理。费劲做了半天，结果差点死得比谁都难看。
跟antitrust的教授讨论过这个问题。我觉得abuse法律的现象很严重。事实上。美国的

丫的主要是太arrogant,不降价，也不谈判，所以碰上牛逼法官一生气就给丫拆了。跟
当初rockfellar一样。但是至今还有很主流的看法是当初是过于轻易的拆了。你看看那
些baby bell,最后不还是有合起来。
话说回来，埃克森和美孚也合起来了。
要说反垄断最幸运的是IBM，当初丫弄得控方甚至找不到律师，因为全国搞antitrust的
律师几乎全部因为conflict of interest不能在他对面打官司。但是还没打完呢，结果
苹果和wintel横空出世，IBM跑去做consulting忽悠去了。
反垄断这个东西，政治气候是决定的关键。。。现在OB在台上，号称要tough，但是现

iPhone大概占smart phone market 20%左右，所以绝对不算垄断，它收50%都没人管，
当然最后business model是不是成功那是另外一回事。iPad本质上是tablet PC,去年卖
了大概10-15 million， 比起每年400million+的PC销量，也绝对谈不上垄断。
现在一些antitrust专家讨论的情况是，如果60%的电子杂志订阅是通过iTunes的，就可能可以告apple垄断。但想想刚起步的tablet市场，和现有的PC市场，很难相信最后会是这样。
想想看，当SD/CF卡普及的时候，SONY还是专用自己搞的memory stick，巨贵，大家也
没办法不是。你要用SONY就要买我的memory stick.苹果现在做的是一样的事情。利润

：那个法官认为三星侵犯了苹果专利，但是苹果需要证明其专利有效（“VALID”）。
而且当时我就指出来那个法庭的法官是韩裔。

in the world - which I very much doubt. Compared with IBM, Miscrosoft is much
better and should never be charged under antitrust law. |

就是那些bill of landing, antitrust, surety那些。还有法律占到多少比重啊？考了
多吗?

就是什么都看看，但没有重点的记准，做题也少。所以建议大家一定把重要的知识点看
准，记准，多做重点章节的练习题。我个人觉得不需要面面俱到，这个考试知识点的涵
盖不是很广，毕竟题目少，只有72道（24*3）选择题而已，有些像farm,antitrust,不
看没关系。Business law里把sale， UCC看一下，知道基本的commercial paper的概念
就可以了。 |
